Te comento que no es posible realizar esa tarea, tendr'ias que ver la posibilidad de migrar tu servidor de NT4 a Windows 2000 Server.
Te envio los requerimientos minimos que si o si debe cumplir.
Hardware Requirements
• Intel Pentium 166 megahertz (MHz) or faster
• At least 128 megabytes (MB) Random Access Memory (RAM)
• NTFS partition with at least 4 gigabytes (GB) of available disk space for Microsoft Exchange 2000 Server

• Exchange 2000 Server with the latest service pack and security updates
